Constitution

Lanark Business Group is formed with the aim of bringing together the businesses of Lanark and to become the voice of business within Lanark, while looking to develop and further enhance the profile and awareness of both the businesses and the town of Lanark.

Committee

An Executive of five office bearers and nominated members will run the general business of the Group.

They will be elected annually at the AGM, which will be held each September.

Aims and Objectives

  • The Business Group will provide a central focus for communications with other bodies, including South Lanarkshire Council, other local organisations and groups and utilities.
  • The Business Group will build membership to provide, by weight of numbers and professionalism, a strong voice to project opinions and proposals to the benefit of the business community in Lanark.
  • The Business Group will work either in solo or in partnership with other groups to assist in marketing the town of Lanark as a place to visit and in which to do business. This marketing will include events and activities to further the businesses and town of Lanark.
  • The Business Group is a non-profit, non-political and non-sectarian organisation.

Membership

All businesses based in and around Lanark are entitled to become members.

Individuals with specialist experience can be co-opted from other organisations, groups, firms or authorities at the discretion of the Committee.

Such people will not be members of the Business Group but will act within the group for the period of the event or project.

Quorum

The quorum for the group shall be eight.

Decisions will be made by means of a majority vote by those in attendance at the
meeting.

Finance

All finance received or raised by the Business Group will be used for the marketing and promotion of Lanark including the organisation of events and projects to further the Businesses and Town or administrative expenses incurred in the furtherance of these aims.

All cheques issued by the Business Group must carry the signatures of a minimum of two of the following office bearers:

  • Chairman
  • Vice-Chairman
  • Secretary
  • Treasurer

Membership fees are to be agreed at the AGM each year by means of a vote decided by a majority decision of members attending the AGM.

Meetings

General meetings are to be held on the first Monday of each month at 5:30pm at a suitable venue. Executive meetings are to be held on the third Monday of each month at 5:30pm at a suitable venue.

Agendas will be published before meetings take place on the website www.lanarkbusinessgroup.co.uk and/or the groups Facebook page. Any members have the right to have items added to the agenda.

Amendments to Constitution

Any member of the group may propose amendments to the Constitution. Proposals must be handed to the Secretary no later than a week before the AGM or EGM.
Any alteration to the constitution will require the consent of two thirds of the members present at the meeting.

Dissolution of Group

Any proposal to dissolve the group shall be put to a special meeting of the group.
Where a special meeting is to be held 14 days notice shall be given. Where decision have been approved by a two thirds majority of those present, the assets remaining shall be transferred to an other group with similar aims.

This Constitution was adopted as the Constitution of Lanark Business Group at a meeting of the group in Lanark on 4 Feb 2013.
